Compass to Acquire Anywhere Real Estate in $10 Billion All-Stock Deal

September 22, 2025

Compass, the major U.S. residential real-estate brokerage, is buying Anywhere Real Estate (the company that owns brands like Century 21, Coldwell Banker, Corcoran) in an all-stock deal worth about $10 billion. Under the agreement, Anywhere shareholders will receive 1.436 shares of Compass Class A stock for each share of Anywhere they hold. That values Anywhere at ~$13.01 per share, which is a steep premium over its previous trading price.

The deal significantly expands Compass’s agent network, adding Anywhere’s existing brands and offices to its platform. The combined entity will support roughly 340,000 real estate professionals across the U.S. and in about 120 international territories. Compass will maintain the independent brands of Anywhere’s portfolio even after integration. The merger is expected to close in the second half of 2026.

From the investing angle, this underscores how brokerage firms are consolidating to capture scale in a soft housing market. With rising interest rates, slower home-sales, and tight mortgage market, scale (especially agent count, geographic footprint, and brand recognition) becomes more valuable. For private equity and real estate investors, the deal is a signal that those brokerages with strong balance sheets are likely to acquire weaker players or brands with lower margins. It also raises questions about cost synergies, integration risk, and how valuations are being approached in M&A in real estate today.
