FAQs
Have any questions? We're here to assist you.
What is LPshares?
LPshares.com is the premier marketplace for buying and selling passive or fractional real estate investments in existing real estate syndications. It's a platform where passive investors can advertise their Limited Partner (LP) ownership interests in real estate, oil & gas, and venture capital syndications, either to sell or acquire similar investments. LPshares.com is strictly a listing portal and is not a broker-dealer or crowdfunding platform. We do not participate in the acquisition or disposition of interests.
Can I raise funds for a new syndication by listing interests on LPshares.com?
Yes, you can list individual interests for 506(c) offerings. If you're interested in becoming a verified sponsor, email us at [email protected] for more information.
Can non-accredited investors sell their fractional/passive interests on LPshares.com?
Yes, both accredited and non-accredited investors are allowed to sell their interests.
How do I list my asset on LPshares.com?
To list your property, visit LPshares.com, create an account, and navigate to "Sell" or "Create Listing" to post your asset.
What are the fees associated with buying and/or selling on LPshares.com?
Currently, it is free to buy and sell your interests on our marketplace.
How is the value of a property determined before listing?
The seller determines the price for the asset. It's up to the seller to decide how detailed their valuation will be. Soon, we'll introduce an evaluation feature where assets can be independently assessed.
Are there any restrictions on properties/interests that can be listed?
LPshares.com is exclusively for fractional passive shares in existing syndications. All sales of fractional interests are subject to final approval by the issuing sponsor.
How does LPshares ensure the authenticity and legality of listings?
LPshares does not regulate, investigate, or guarantee the authenticity of any listings. We serve purely as a classifieds platform for investors to list fractional ownership in syndications for sale.
What happens if there's a dispute between fractional owners of a property?
LPshares does not provide legal or financial advice. Any disputes would be legal matters, and we recommend seeking legal counsel. LPshares is solely a listing portal and does not participate in the acquisition or disposition of interests.
How do I know my sponsor will allow me to sell my interest(s)?
This must be discussed directly with your sponsor. Some buyers may assist in initiating that conversation for interests they are seeking to acquire.
How long does a listing remain active on LPshares.com?
A listing remains active until it is sold or archived by the seller.
Can I share a listing with someone who doesn't have an LPshares.com account?
Yes, you can share your listing using the share button on each listing. Signing up for an account is free and gives access to view all listings.

What is a limited partner in real estate syndication?
A limited partner (LP) is a passive investor in a real estate syndication who contributes capital but does not participate in day-to-day management or decision-making. Limited partners have limited liability, meaning their financial exposure is typically restricted to their initial investment amount. They receive distributions and tax benefits according to their ownership percentage but rely on the general partner (GP) to manage the investment. LPs are essentially silent partners who invest money and receive returns without operational responsibilities.
What is an accredited investor?
An accredited investor is an individual or entity that meets criteria set by the U.S. Securities and Exchange Commission (SEC). Generally, this includes: (1) Individuals with annual income over $200,000 (or $300,000 with a spouse) for the past 2 years, or (2) Individuals with net worth over $1 million (excluding primary residence), or (3) Certain financial professionals holding Series 7, 65, or 82 licenses. For the full definition, see the SEC's guide: https://www.sec.gov/education/capitalraising/building-blocks/accredited-investor

How do I know if the sponsor of a real estate syndication will approve the sale?
All sales must be approved by the sponsor. This is part of your due diligence as a buyer.
When should I send payment for shares I intend to buy?
We recommend waiting until you've completed all due diligence and finalized documentation. Consulting a transaction or escrow attorney is advisable. Seeking legal counsel is highly recommended for a smooth transaction.
Can I purchase multiple shares of the same property/listing?
Yes, if multiple shares are listed, you can make offers on as many as you'd like.
Can LPshares facilitate my transaction?
No, LPshares does not facilitate, advise, or participate in buying or selling shares. We are purely a classifieds platform for advertising fractional ownership in syndications. All transactions are handled by the buyers and sellers.
How do I purchase a listing?
Offers are made directly to the seller. All negotiations are conducted between the buyer and seller. Please copy [email protected] on correspondence so LPshares can notify the sponsor for processing.
When will I receive the investment I purchased?
You'll receive confirmation from the sponsor of the partnership interests, stating you have been added to the capital investment account, confirming your ownership percentage.
Is it possible to make a mistake when buying?
Yes. These are sophisticated investments, open to accredited investors only. You are responsible for conducting thorough due diligence, including verifying the asset's validity and ownership.
