Soho House is set to go private in a $2.7 billion deal led by New York based MCR Hotels. Shareholders will receive $9 per share, a 17.8% premium over the most recent closing price, sending the stock up nearly 15% on the news. The move comes after Soho House struggled since its 2021 IPO, losing nearly half its market value despite steady revenue growth and an expanding membership base. Major shareholders including Ron Burkle, Richard Caring, and Goldman Sachs will keep their stakes, while Ashton Kutcher is joining the board as part of the transaction. A special committee of the board began reviewing strategic alternatives in early 2024 as financial pressures mounted. By going private, Soho House aims to reduce the scrutiny and volatility of the public markets while focusing on its long term hospitality strategy. The deal is expected to close by the end of 2025, pending regulatory approval, after which the company will be delisted from the NYSE.
