This Private Placement Memorandum (“Memorandum”) describes the capital raise (the “Offering”) by Wimberley Snooze & Booze, LLC (the “Sponsor”) of $3,000,000 in membership interests, representing an ownership of the membership interests (the “Investors”), with a minimum investment of $100,000 in Wimberley Snooze & Booze, LLC, a Texas Limited Liability Company. Wimberley Snooze & Booze, LLC, will act as Manager (“Manager”) for Wimberley Snooze & Booze LLC provided the required loan guarantees necessary at the time of land acquisition in December 2024. Investors will earn a 8% preferred return. Cash flow upon a capital event, proceeds, net of expenses, shall be distributed to the Investors until they have received a return of all their invested capital, then a 8% preferred return to investors. Sponsor’s current plan is to develop the land after securing required entitlements and building permits from city of Wimberley. Current investors are participating in the entitlements, permitting and horizontal development phase. The Sponsor may bring in bank financing for future development. The Sponsor is undertaking this Offering to capitalize the Company to entitle, permit, construct, and operate the businesses. This is a first to market 20 room boutique hotel in Wimberley Texas in heart of the hill country. The property will feature a timeless boutique hotel with a 3,500 sq/ft restaurant and a 3,500 sq/ft gourmet market in a location that see's over 1M visitors annually. The investment is raising $10M total in $100k shares.
